Terms of Service

1. Acceptance of Terms

By accessing or using the ShopInStreet platform, including our website (shopinstreet.com), mobile applications, and related services (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Platform.

ShopInStreet is operated by ShopInStreet Inc. (“we,” “our,” or “us”), a company registered in Canada. These Terms constitute a legally binding agreement between you and ShopInStreet Inc.

2. Definitions

  • “Platform” — The ShopInStreet website, vendor app, customer app, restaurant websites, and all related services.
  • “Vendor” — A restaurant, food establishment, or business that uses the Platform to manage orders, marketing, and operations.
  • “Customer” — An individual who uses the Platform to browse, order food, or interact with Vendors.
  • “Content” — Any text, images, menu items, reviews, posts, messages, or other materials uploaded to or generated through the Platform.
  • “Social Media Services” — WhatsApp Business messaging, Instagram posting, and Facebook Page posting features provided through Meta Platform APIs.

3. Platform Services

3.1 For Vendors

ShopInStreet provides Vendors with:

  • Zero-commission online ordering system with custom restaurant websites
  • Customer relationship management and database
  • WhatsApp Business marketing campaigns to reach customers directly
  • Instagram and Facebook content publishing for promotions and offers
  • Loyalty program management to drive repeat orders
  • Order management, analytics, and business insights
  • Menu management and digital storefront

3.2 For Customers

ShopInStreet provides Customers with:

  • Online food ordering from partner restaurants
  • Restaurant discovery and browsing
  • Loyalty rewards and promotional offers
  • Order tracking and delivery status updates
  • Secure payment processing

4. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to create a Vendor account. You must be at least 13 years old to create a Customer account. You must notify us immediately of any unauthorized use of your account.

5. Social Media Integration Services

5.1 WhatsApp Business Messaging

Vendors may connect their WhatsApp Business number to send promotional and transactional messages to customers through Meta WhatsApp Business API. By using this feature, Vendors agree to:

  • Comply with Meta's WhatsApp Business Policy and Commerce Policy
  • Send messages only to customers who have an existing relationship with their restaurant
  • Honor all opt-out requests promptly (customers who reply STOP must be removed immediately)
  • Not send spam, misleading, or deceptive messages
  • Ensure message content is accurate and represents their business truthfully

ShopInStreet acts as a technology provider facilitating WhatsApp messaging on behalf of Vendors. Each Vendor’s WhatsApp Business Account is owned by the Vendor. ShopInStreet is not responsible for message content created by Vendors.

5.2 Instagram and Facebook Publishing

Vendors may connect their Instagram Business Account and Facebook Page to publish promotional content through our Platform. By using this feature, Vendors agree to:

  • Comply with Meta's Terms of Service and Community Guidelines
  • Ensure all published content is accurate and not misleading
  • Own or have the right to use all images and content published
  • Not publish content that is illegal, harmful, or violates any third party's rights
  • Accept that engagement with published content (comments, messages) is the Vendor's responsibility to manage

5.3 Disconnection and Data Removal

Vendors may disconnect their social media accounts at any time through the Platform settings. Upon disconnection, ShopInStreet will immediately stop sending messages or publishing content on the Vendor’s behalf, delete stored access tokens within 24 hours, and retain anonymized campaign analytics for 90 days.

6. Payments and Fees

6.1 Online Ordering

ShopInStreet provides zero-commission online ordering. Vendors are not charged a percentage fee on orders placed through their ShopInStreet-powered website or app. Payment processing fees charged by third-party payment processors (Razorpay, Stripe) are separate and apply as per their terms.

6.2 Subscription Plans

ShopInStreet offers Free, Pro, and Enterprise subscription plans. Plan features, pricing, and limits are as described on our website and may change with 30 days notice. Subscriptions are billed monthly or annually. Vendors may upgrade, downgrade, or cancel their subscription at any time.

6.3 Marketing Message Credits

WhatsApp marketing messages require message credits. Free credits are provided monthly (quantity depends on subscription plan). Additional credits can be purchased through the Platform. Credits are non-refundable and expire at the end of the billing period. Pricing for credits is displayed in the Platform before purchase.

7. Content and Intellectual Property

Vendors retain ownership of their Content (menu items, photos, business information). By uploading Content, Vendors grant ShopInStreet a non-exclusive, worldwide license to use, display, and distribute the Content as necessary to provide the Platform services. ShopInStreet owns all rights to the Platform itself, including software, design, branding, and proprietary technology. Neither party may use the other’s trademarks without prior written consent.

8. Prohibited Uses

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any applicable laws
  • Send spam, unsolicited messages, or bulk messages that violate anti-spam laws (CASL in Canada, applicable laws in India)
  • Upload malicious code, viruses, or interfere with Platform operations
  • Scrape, crawl, or collect data from the Platform without authorization
  • Impersonate any person or misrepresent your affiliation with any entity
  • Use customer data obtained through the Platform for purposes other than fulfilling orders and authorized marketing
  • Share or resell access to the Platform
  • Circumvent any security or access controls

9. Limitation of Liability

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, ShopInStreet shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

ShopInStreet is not responsible for the quality, safety, or legality of food prepared by Vendors. Issues with food quality, hygiene, or allergens should be directed to the Vendor.

10. Termination

Either party may terminate the account at any time. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, receive consistent negative reviews or complaints, or fail to pay applicable fees. Upon termination, Vendor data will be available for export for 30 days, after which it may be deleted.

11. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the ADR Institute of Canada. The language of arbitration shall be English.

12. Canadian Anti-Spam Legislation (CASL) Compliance

For operations in Canada, ShopInStreet and its Vendors comply with CASL. Commercial electronic messages are sent only to customers with express or implied consent. All messages include clear identification of the sender (restaurant name), the ability to unsubscribe, and valid contact information. Unsubscribe requests are processed within 10 business days.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days notice via email or Platform notification. Continued use after the effective date of changes constitutes acceptance.
